Terms of Service

These Terms of Service govern your use of Northbyte Review, an article-based platform exploring Inside Canada’s Digital Shift. They describe what we provide, what we expect from visitors, and the legal terms that apply when you read, subscribe, or interact with our content.

1) Acceptance of these Terms

By accessing or using this website (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site. These Terms apply to all visitors and users, including people who read articles, browse topics, or submit an email address to receive the newsletter.

Minimum age: you must be at least 16 years old to use the Site and to subscribe to the newsletter. If you are between 16 and the age of majority where you live, you confirm that you have permission from a parent or guardian to use the Site. We do not knowingly solicit personal information from children under 16.

If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” includes the organization.

2) Service description

Northbyte Review publishes editorial content about evolving digital habits in Canada. The Site includes articles, topic pages, and a newsletter signup. Our content is intended to provide context and explanation about online environments, emerging platforms, privacy and account practices, and user experience patterns that people commonly encounter.

The Site is informational. It is not professional legal advice, financial advice, security consulting, or a substitute for advice tailored to your situation. While we aim to be accurate and clear, we cannot promise that content will always be complete, up to date, or applicable to your circumstances.

We may update, reorganize, or discontinue parts of the Site at any time, including publishing schedules, navigation structure, and availability of features. We do not guarantee that any particular article, section, or feature will remain available.

3) User obligations and lawful use

You agree to use the Site lawfully and in a way that does not harm the Site, its security, or other users. You are responsible for your own device security, internet connection, and any actions you take based on the information you read.

When interacting with Site forms, including newsletter subscription fields, you agree to provide information that is accurate and belongs to you. You must not submit someone else’s email address without permission. You also agree not to attempt to bypass form validation or interfere with the Site’s normal operation.

If we offer a user account feature in the future, you agree to maintain the confidentiality of your login details and to use one account per person unless we explicitly allow otherwise.

4) Prohibited activities

You may not, and may not attempt to, directly or indirectly:

  • Scrape, harvest, or collect content or data from the Site using automated means without our prior written permission.
  • Reverse engineer, decompile, or attempt to discover source code or underlying ideas, except to the extent such restriction is prohibited by law.
  • Upload, transmit, or distribute malware, spyware, or code intended to disrupt, damage, or gain unauthorized access.
  • Impersonate any person or organization, or misrepresent affiliation with Northbyte Review.
  • Use the Site to send spam, chain messages, or unsolicited communications.
  • Attempt to gain unauthorized access to the Site, servers, or related systems, including by probing or scanning for vulnerabilities.
  • Use the Site in a way that infringes the rights of others, including intellectual property, privacy, or publicity rights.
  • Interfere with or disrupt the Site’s availability, including by causing unreasonable load, denial-of-service activity, or abusive requests.

We may suspend or block access to the Site if we believe, in good faith, that your activity violates these Terms or creates risk for the Site or other users.

5) Intellectual property

The Site, including its text, design, graphics, logos, and compilation of content, is owned by Northbyte Review Inc. or its licensors and is protected by Canadian and international intellectual property laws. “Northbyte Review” and related branding are trademarks or trade dress of Northbyte Review Inc.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. You may share links to our pages using standard web sharing practices. You may not reproduce, republish, or distribute substantial portions of the content without permission, except where allowed by law (for example, fair dealing).

Any rights not expressly granted to you are reserved by Northbyte Review Inc.

6) Newsletter and communications

If you subscribe to our newsletter at /newsletter/, you are asking to receive periodic emails about newly published articles and updates to topic hubs. The newsletter is optional and you can unsubscribe at any time using the unsubscribe link in the email.

We do not require payment to access core content. If we introduce paid features in the future, we will provide separate terms or an updated version of these Terms describing pricing, billing, and consumer rights.

7) Disclaimer of warranties

The Site and all content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties and representations, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant that any content is complete, reliable, or current at the moment you read it. Digital platforms and policies can change quickly, and your experience may differ based on region, device, settings, or account status.

8) Limitation of liability

To the maximum extent permitted by applicable law, Northbyte Review Inc., its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total liability for direct damages arising out of or related to the Site will be limited to the amount you paid to us for the Site in the twelve months before the event giving rise to the claim, or €100 (whichever is lower). For most visitors, this amount will be €0 because we do not charge for access to the Site.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

9) Indemnification

You agree to indemnify, defend, and hold harmless Northbyte Review Inc. and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.

10) Third-party links

The Site may reference or link to third-party websites, services, or platforms for context. Third-party sites are not controlled by us, and we are not responsible for their content, security, or privacy practices. Your use of third-party sites is at your own risk and subject to their terms and policies.

11) Privacy

Your use of the Site is also subject to our Privacy, which is incorporated by reference into these Terms. The Privacy page describes what personal data we collect, how we use it, retention periods, and your rights.

12) Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Except where prohibited by law, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to the personal jurisdiction of those courts.

13) Dispute resolution (informal first)

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. You can send a written notice describing the issue and the relief requested to the contact details in the “Contact” section below.

If we cannot resolve the dispute within that 30-day period, either party may pursue a claim in the courts specified under the Governing Law and Jurisdiction section, unless a different approach is required by applicable law.

14) Termination and suspension

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, created risk for the Site, or engaged in prohibited conduct. We may also restrict access to specific features if needed for security or maintenance.

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that by their nature should survive.

15) Modifications to these Terms

We may update these Terms from time to time to reflect changes to the Site or legal requirements. Updated Terms will be posted on this page. Changes will become effective 14 days after posting, unless a change is required to address security concerns, legal compliance, or other urgent circumstances, in which case it may take effect immediately.

Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to an update, you must stop using the Site.
